3. Intellectual Property Ownership

1. All content on xftmetals.com is exclusive intellectual property of Wuxi Xinfutian Metal Products Co., Ltd., including text, product photos, steel technical parameters, logos, brand marks, drawings, blog articles, website layout and design code, protected by global copyright, trademark and industrial design laws.
2. Prohibited behaviors without our written authorization:
   • Copy, reproduce, distribute, edit, republish website content for commercial resale or competitor marketing
   • Crawl, scrape massive product data via automated robot programs
   • Forge our brand logo, product pictures and factory certification for fraud
   • Reverse engineer, decompile website source code or embed our site into third‑party malicious platforms
3. You may temporarily save product pages for internal purchasing evaluation only; any commercial reproduction requires signed IP licensing agreement with us.

1. Submit false identity, fake company information or fraudulent purchasing inquiries via contact forms
2. Upload malware, virus, spam, offensive, illegal or infringing content through message forms
3. Launch network attacks, DDoS, SQL injection or hacking to damage website server
4. Use the Site to promote counterfeit steel products, compete maliciously or harass our sales team
5. Violate export/import trade laws, sanction regulations or local industrial standards of your country via our platform
6. Transmit confidential third‑party data without lawful permission

5. Product & Quotation Disclaimer

1. All steel product specifications, surface finish pictures, grade parameters and prices displayed on the Site are general reference only; actual price, delivery cycle, tolerance standard and surface treatment shall be subject to formal written proforma invoice confirmed by both parties.
2. Stock status marked on the website is real‑time reference; bulk order raw material fluctuation may lead to temporary out‑of‑stock, we will notify buyers immediately once supply changes.
3. Material performance introduction on the blog and product pages is general industry knowledge, not tailored to your specific construction, chemical, machinery or plumbing project; you shall conduct independent engineering testing to confirm material applicability before mass order.
4. We do not guarantee website information is 100% error‑free; minor parameter typo shall be corrected upon buyer notice without liability for indirect losses.

7. Limitation of Liability

1. We shall not bear liability for any indirect, consequential, incidental or punitive damages, including lost profits, project downtime, production loss, transportation extra cost or reputational loss arising from website browsing, information reference or delayed quotation reply.
2. Our total aggregate liability for all disputes related to website use shall not exceed the total amount you paid to us for formal confirmed steel orders.
3. We are not liable for service interruption caused by uncontrollable factors: internet operator failure, natural disasters, government network supervision, hacker attacks, international communication line breakdown.
4. We do not take responsibility for losses caused by your misuse of website reference data without written technical confirmation from our engineer team.

9. Order & After‑Sales Supplementary Terms (Website Inquiry Follow‑Up)

1. All formal sales contracts shall be separately signed by both parties; these website Terms of Service do not replace formal sales agreements for bulk steel orders.
2. Visible surface defects, quantity shortage must be notified to our sales team in writing with photos/videos within 15 working days after cargo arrival at destination port; hidden material quality defects shall be reported promptly after discovery, maximum claim period 30 days post delivery.
3. Our factory warranty covers raw material grade compliance and production workmanship under standard storage & usage environment; damage caused by improper cutting, welding, corrosion from unsuitable working medium or manual modification is excluded from free replacement or compensation.
4. Order cancellation rules: After raw material cutting/production starts, buyer cannot unilaterally cancel orders; cancellation before production setup will incur 15% material reservation and processing administrative fee as compensation to our factory.

13. Governing Law & Dispute Resolution

1. These Terms of Service are governed by the laws of the People’s Republic of China, excluding conflict of law rules.
2. Any dispute arising out of website use, inquiry communication or preliminary order negotiation shall first be resolved via friendly email negotiation between both parties.
3. If negotiation fails, all disputes shall be submitted to the People’s Court of Wuxi City, Jiangsu Province for exclusive litigation settlement.

14. General Provisions

1. Separability: If any single clause of these Terms is ruled invalid by competent court, the remaining provisions shall remain fully enforceable.
2. No Waiver: Our failure to enforce any term of this agreement does not waive our right to enforce such clause later.
3. Independent Agreement: This Terms of Service and Privacy Policy form an independent binding agreement separate from formal steel sales contracts.
